In the event of any dispute arising out of or relating to these Terms and Conditions, both parties agree to first attempt to resolve the dispute informally through good faith negotiations.
If the informal negotiations do not resolve the dispute within thirty (30) days, both parties agree to submit the dispute to mediation in San Francisco, California. The mediation shall be conducted by a mutually agreed-upon mediator, and the costs of the mediation shall be shared equally by both parties.
If mediation is unsuccessful in resolving the dispute within sixty (60) days, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in San Francisco, California, and the arbitrator's decision shall be final and binding on both parties.
The arbitrator shall have the authority to award any remedies available under applicable law. The prevailing party in the arbitration shall be entitled to recover its reasonable attorney's fees and costs from the non-prevailing party.
